These Terms of Service ("Terms") govern your access to and use of the Vernac service ("Service"). By using Vernac you agree to these Terms. If you do not agree, do not use the Service.
The Service is provided by Vernac, a product of Great Lakes Golf Concierge LLC ("Vernac," "we," "us"). For the purchase transaction itself, you contract with Paddle.com Market Limited ("Paddle") as the Merchant of Record (see Section 7).
By accessing, uploading data to, paying for, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. You must be of legal age in your jurisdiction to enter into a binding contract.
Vernac is an automated digital analytics interpretation service. You upload analytics data and business context, and the Service generates a written report containing observations, identified opportunities, and recommendations. The report is delivered electronically once generated.
Reports are produced by automated systems that apply Vernac's proprietary analytical framework to the data you submit.
Reports are informational only. Vernac reports do not constitute professional financial, investment, legal, accounting, tax, or marketing advice. They are an automated interpretation of the data you provide and should not be relied upon as a substitute for advice from a qualified professional who has full knowledge of your specific circumstances.
You are solely responsible for any business, financial, marketing, or operational decisions you make. The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement, and we make no warranty that the Service will be uninterrupted, error-free, or that any report will produce any particular outcome.
Vernac retains all rights, title, and interest in and to the Service, including its analytical methodology, framework, prompts, models, software, branding, and all underlying intellectual property. Nothing in these Terms transfers any ownership of the Service or its methodology to you.
You own the report output delivered to you. Subject to your payment in full, you receive a perpetual, worldwide, royalty-free license to use, copy, modify, and distribute the specific report generated for you, internally and externally, for any lawful business purpose. You retain ownership of the analytics data and business context you submit.
You may not reverse engineer, replicate, or attempt to derive the methodology behind the Service. You may not use the Service to build a competing product.
You agree not to: (a) use the Service for any unlawful, fraudulent, or harmful purpose; (b) upload data that you do not have the right to submit, including third-party personal data without lawful basis; (c) upload malware or attempt to interfere with, probe, or compromise the security or integrity of the Service; (d) scrape, mass-download, or extract content from the Service except as expressly permitted; (e) infringe any intellectual property or privacy right; (f) attempt to circumvent rate limits, paywalls, or technical access controls; or (g) resell or redistribute the Service itself.
You are responsible for the accuracy and lawfulness of the data and context you submit and for activity that occurs under your email address.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries related to the transaction and handles payment processing, billing, tax calculation and remittance, invoicing, fraud screening, chargebacks, and returns.
By completing a purchase you also accept Paddle's Checkout Buyer Terms at paddle.com/legal/checkout-buyer-terms, which govern the payment, billing, tax, cancellation, and refund mechanics of the transaction.
Prices are displayed at checkout. Taxes are calculated and collected by Paddle where required.
Reports are digital products delivered electronically. Our refund policy is set out in full on our Refund Policy page. In summary: refunds are issued only where there is a verifiable technical failure that prevents delivery of your report; once a report has successfully generated and been delivered to you, no refunds are issued. Refund requests are handled by Paddle as Merchant of Record.
We may suspend or terminate your access to the Service immediately and without notice if you (a) materially breach these Terms, (b) fail to pay amounts due, (c) present a security, fraud, or abuse risk, or (d) commit repeated or serious policy violations. We may also discontinue the Service or any feature at any time. You may stop using the Service at any time. Sections relating to intellectual property, disclaimers, liability, indemnity, and governing law survive termination.
To the fullest extent permitted by law, Vernac's aggregate liability arising out of or relating to the Service or these Terms is limited to the amount you paid us in the twelve months preceding the event giving rise to the claim. In no event will we be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or loss of goodwill, even if advised of the possibility of such damages. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence, or for any other liability that cannot be excluded by law.
You agree to indemnify and hold harmless Vernac and Great Lakes Golf Concierge LLC from any claim, loss, or expense arising out of (a) the data or content you submit, (b) your unlawful or unauthorized use of the Service, or (c) your breach of these Terms.
We may modify the Service or these Terms at any time. Material changes to the Terms will be reflected by updating the date at the top of this page. Continued use of the Service after a change constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict of laws principles. The state and federal courts located in Michigan have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to any mandatory consumer protections available to you in your country of residence.
You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Vernac concerning the Service.
Neither party is liable for any failure or delay in performance caused by events beyond reasonable control, including acts of God, war, terrorism, civil disturbance, pandemic, governmental action, network or infrastructure failures, or third-party provider outages.
